【质押交易托管协议】

【Pledge Transaction Escrow Agreement】

       1. 买方在收到卖方 SCO 后向卖方签发包括公司注册证书的 ICPO。Buyer issues ICPO including company registration certificate to Seller upon receiving Seller’s SCO.

       2. 卖方确认买方的 ICPO 并向买方签发开放修改/更正的SPA。Seller acknowledges buyer’s ICPO and issue SPA open for amendments / correction to Buyer.

       3. 买方在4个国际工作日内透过电子邮件（或者我中方代理）将正式签署的 SPA 连同NCNDA/IMFPA 以 word 格式发送给卖方(NCNDA/IMFPA 格式可由卖方提供，以符合卖方的期待)，卖方进行最终签名并将合约/SPA 转换为 PDF 并发送给买方，双方将合约/SPA的原件提交给各自的银行。The buyer will send the officially SPA which signed with NCNDA/IMFPA to the seller in word version via email within 4 international working days (NCNDA/IMFPA can be provided by the seller to meet the seller’s expectations), Seller make the final signature and converts the contract / SPA to PDF version and send to buyer，both parties lodged hard copies contract/SPA to their respective bank.

        4. 炼油厂为买卖双方推荐指定一家托管担保银行，担保银行应在签署双边合作"质押交易托管协议"之前，在各方之间开通沟通管道。The refinery designate a custody and guarantee bank for the buyer and seller. The guarantee bank should open a communication channel between the parties before signing the "Pledge Transaction Escrow Agreement" for bilateral cooperation.

        5. 卖方向买方发送以下POP文件The seller sends the following POP file to the buyer

       * 合法/公证的SPA副本Copy of legal/notarized SPA

       * 公司注册证书副本Copy of company registration certificate

       * 产品可用性声明副本Copy of Product Availability Statement.

       * 炼油厂生产产品承诺副本Copy of refinery production product commitment

       * 产品护照分析副本Copy of product passport analysis

       * 原产地证明副本Copy of certificate of origin

       6. 买方收到卖方发送的PPOP并核实后，卖方和买方签署协议，买方向托管担保银行账户存入首次试装费用的 1/3 作为质押保证金，以确保买方获得产品分配。After the buyer receive and verifies the PPOP sent by the seller, seller and buyer sign agreement/SPA, the buyer shall deposit 1/3 of the first trial installation fee into the escrow guarantee bank account as collateral deposit.

       7. 卖方确认买方首次试装费用的1/3存入后，无需再返还2%的保证金给买方，产品分配将以买方权益全名、完整 POP 书写，并根据合约开始装船出货。After the seller confirm that the buyer has deposited 1/3 of the first trial installation fee, there is no need to return the 2% deposit to the buyer. Product allocation be written in buyer’s full name, full POP and start loading and shipping according to the contract。

       8. 货物抵达卸货港（买方目的港）进行CCIC或SGS检验后，在成功通过CCIC或SGS检验/报告核对，并向买方银行提交全套出口单据后，第二张发票将通过MT103支付，金额为产品第一次试装货款的2/3。卖方将所有物权转让给买方。卖方在24小时内向相关代表/代理人付款。After the goods arrive at the unloading port (port of destination of buyer) for inspection by CCIC or SGS, and after successfully passing the CCIC or SGS inspection and submitting a full set of export documents to the buyer's bank, a second invoice will be issued through MT103, with the amount of the first product 2/3 of the trial installation price. The seller transfer ownership to the buyer. The seller pay the relevant representative/agent within 24 hours.

       9. 买方和买方代表可以在装货期间访问炼油厂，见证装货港的装货情况。Buyers and buyers’ representative is allowed to visit Refinery to witness loading in the loading port during loading.

       10. 买卖双方签署继续执行每月交付货物的数量。The buyer and the seller sign to continue the delivery of the monthly quantity of goods.

注意：

       一) 若买家故意违约不收取载具（船）货物，在产品合格情况下拒付尾款，卖方有权依"质押交易托管协议"内容，取走买方存于托管担保银行的款项。

       二) 相反，如果货物不能按照买卖双方签订的合约在约定的时间抵达（自然灾害/战争等特殊情况除外）运到买方目的港，买方有权宣布合约无效，按照合约索回质押在托管担保银行的款项。

流程：

   ICPO过审后，主合同返回，带主合同到中国境内指定银行签联合监管协议，然后卖家发PPOP出口文件，同时集港装货，货发出，卖方提供SGS报告，Q8Q文件，船务问卷，提单副本，货到港，买家进行检验CCIC，合格后，到银行提交文件，进行银行TT支付尾款，银行安排交割物权，银行负责释放所有提单正版文件及释放文本，监管协议完结，银行对卖家付款。

材料：

   买家营业执照和资质，法人护照，企业简介，到达目的港信息，验证银行出具的资金证明，金额需要覆盖试单量全部货款额。试单最小起订量5万吨。
